Terms of Service

The service

CenovaGate provides an AI gateway and workspace console that route, cache, analyse and report on AI requests sent by your applications. Features may change as the service evolves; we will not materially reduce a paid feature during a paid term without notice.

Accounts and access

• You must provide accurate account information and keep it current.
• You are responsible for activity under your account, for managing member roles, and for keeping API keys secret. Keys are shown once; treat them like passwords and revoke any key you believe is exposed.
• Accounts may not be shared with people outside your organisation.

Acceptable use

You agree not to use CenovaGate to:

• Break the law, infringe rights, or violate the terms of a connected AI provider.
• Send content that is unlawful, harmful, deceptive or abusive.
• Attempt to gain unauthorised access to the service, other organisations' data, or the underlying infrastructure, or to probe, scan or overload it.
• Resell or expose the gateway as your own product without a written agreement.

We may suspend access that threatens the security, stability or lawful operation of the service, and will restore it as soon as the issue is resolved.

Third-party AI providers

You connect your own provider accounts and credentials. Requests you send are forwarded to those providers, and their availability, output quality, pricing and terms are outside our control. You are responsible for any charges your providers bill you directly.

Your content

You keep all rights to the prompts, responses and data you send through CenovaGate. You grant us only the limited permission needed to operate the service for you: routing, caching, measuring and reporting, in line with the privacy mode your administrators choose. We do not use your content to train models.

Plans, billing and trials

• Paid plans are billed in advance for the period shown at checkout.
• Subscriptions renew automatically until cancelled, and cancellation takes effect at the end of the current period.
• Fees are non-refundable except where required by law.
• Cost and savings figures in the console are estimates for guidance, not invoices.

Availability

We work to keep the gateway available and resilient, including fallback routing when an optimisation layer is unavailable. The service is nevertheless provided without a guaranteed uptime commitment unless a separate written agreement says otherwise.

Disclaimers and liability

The service is provided "as is" to the fullest extent permitted by law. We are not liable for indirect, incidental or consequential losses, or for loss of profits, revenue or data. Our total liability in any twelve-month period is limited to the fees you paid us in that period.

Termination

You may stop using the service and close your account at any time. We may terminate for material breach that is not resolved after notice. On termination, access ends and your data is deleted in line with our retention practices.

Changes and governing law

We may update these terms and will revise the date above; continued use after a change means acceptance. These terms are governed by the laws of Ireland, and the courts of Ireland have exclusive jurisdiction.
